• AI Product Extraction: Upload product images and use AI (GPT-4 Vision) to automatically extract product names, descriptions, specifications, and SKUs
• Catalog Management: Organize products with categories, filters, search functionality, and inventory tracking
• Digital Catalog Publishing: Create and publish SEO-optimized product catalogs with custom branding
• Lead Generation: Capture customer enquiries through integrated lead forms and notifications
• Admin Panel: Access a Filament-powered dashboard for managing products, orders, and settings
• Custom Domain Integration: Connect your own domain to your catalog
• Analytics and Reporting: Track catalog performance and visitor metrics

5. User Content and Intellectual Property

5.1 Your Content

"User Content" means any content, data, information, images, text, or materials you upload, submit, or transmit through our Services, including:

• Product images and photos
• Product names, descriptions, and pricing
• Business logos, branding materials, and design elements
• Customer data and lead information

5.2 Ownership of Your Content

You retain all ownership rights to your User Content. We do not claim ownership of any User Content you submit to our Services.

5.3 License to Us

By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:

• Use, reproduce, process, and display your content to provide the Services
• Process your product images through AI services for extraction and analysis
• Store and backup your content on our servers and cloud infrastructure
• Display your catalog publicly when you publish it
• Use anonymized and aggregated data for analytics and service improvement

5.4 Your Responsibilities

You represent and warrant that:

• You own or have the necessary rights to all User Content you submit
• Your content does not infringe on any third-party intellectual property rights
• Your content does not violate any laws or regulations
• Product images and information are accurate and not misleading

5.5 Our Intellectual Property

All aspects of our Services, including software, designs, graphics, logos, features, and functionality, are owned by Cartnity and protected by intellectual property laws. You may not:

• Copy, modify, or distribute our software or source code
• Reverse engineer, decompile, or disassemble our platform
• Remove or alter any proprietary notices or labels
• Use our trademarks or branding without permission

6. Payment Terms and Subscriptions

6.1 Pricing and Fees

Our Services are offered on a subscription basis with the following fee structure:

• One-time Setup Fee: ₹10,000 for initial catalog setup, product import, and domain connection
• Monthly Subscription: Recurring monthly fees based on your selected plan (Basic, Pro, or Enterprise)
• All prices are in Indian Rupees (INR) and exclude applicable taxes

6.2 Free Trial

We may offer a free trial period to new users. During the trial:

• You have access to specific features as outlined in your trial plan
• You must provide valid payment information before the trial ends
• Your subscription will automatically begin when the trial expires unless you cancel
• We reserve the right to modify or discontinue free trial offers at any time

6.3 Billing and Auto-Renewal

• Subscriptions automatically renew on a monthly basis
• You will be charged at the beginning of each billing cycle
• Payment is due immediately upon invoicing
• We will send you a receipt via email for each payment
• You authorize us to charge your payment method for all fees incurred

6.4 Payment Methods

We accept payment via credit cards, debit cards, UPI, net banking, and other payment methods available through our payment processors.

6.5 Failed Payments

If a payment fails:

• We will notify you and attempt to process payment again

• After 15 days of non-payment, we may terminate your account

• AI-generated content may contain errors or inaccuracies
• You are responsible for reviewing and verifying all AI-generated information before publishing
• We do not guarantee the accuracy, completeness, or reliability of AI-generated content
• Product images are sent to third-party AI providers for processing

9. Termination and Suspension

9.3 Effect of Termination

• Your catalog will be unpublished and inaccessible to visitors
• We may delete your data within 90 days unless required to retain it by law
• You remain liable for all fees incurred prior to termination
• Provisions that should survive termination will continue to apply

9.4 Data Export

Before termination, you may export your data using the export features in your admin panel. We are not responsible for data loss after account termination.

10. Warranties and Disclaimers

We strive to provide reliable Services, but we do not guarantee:

• Uninterrupted, error-free, or secure operation
• That defects will be corrected immediately
• Specific uptime or availability targets
• That the Services will meet your specific requirements

These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless Cartnity, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your violation of these Terms
• Your User Content or catalog
• Your violation of any laws or third-party rights
• Product information, pricing, or descriptions in your catalog
• Customer transactions or disputes related to your catalog
• Any negligent or wrongful conduct by you

13. Your Catalog and Customer Transactions

13.1 Your Responsibility to Customers

You are solely responsible for:

• All aspects of your business operations and customer relationships
• Product availability, pricing, and fulfillment
• Customer service, support, and complaint resolution
• Processing orders and handling customer enquiries from leads
• Compliance with consumer protection, e-commerce, and tax laws
• Accuracy of all product information and claims
• Returns, refunds, and warranty policies for your products

13.2 No Merchant Services

13.3 Legal Compliance

You must comply with all applicable laws and regulations, including:

• GST and tax regulations
• Consumer Protection Act and e-commerce rules
• Data protection and privacy laws applicable to your customers
• Industry-specific regulations for your products
• Advertising and marketing standards

14. Modifications to Services and Terms

14.1 Service Changes

We reserve the right to:

• Modify, suspend, or discontinue any aspect of the Services at any time
• Add or remove features and functionality
• Impose limits on storage, usage, or features
• Update our AI models and processing methods

14.2 Terms Updates

We may update these Terms from time to time. When we make material changes:

• Changes become effective 30 days after notification

17. General Provisions

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

17.7 Survival

Provisions that by their nature should survive termination shall survive, including but not limited to: intellectual property rights, payment obligations, warranties, disclaimers, limitation of liability, indemnification, and dispute resolution.

These Terms are prepared in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
